1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and Vecta ("we," "us," or "our"), concerning your access to and use of the Vecta website, jobs board, and related services.

By accessing or using our services, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the site and services and you must discontinue use immediately.

3. Candidate Personal Data & CV Sharing

When you register on Vecta, submit your CV, complete your profile, or apply to job listings, you are providing personal data to us. This includes, but is not limited to, your name, email address, phone number, work history, skills, qualifications, salary expectations, and any other information contained in your CV or profile.

You acknowledge and agree that:

• Vecta will process your personal data for the legitimate business purposes of operating a jobs board, including matching candidates with relevant job opportunities, facilitating introductions between candidates and hiring businesses, and improving our services.
• Your CV, profile information, and other professional data may be shared with prospective employers (hiring businesses) on our platform for the purpose of evaluating your suitability for roles they are seeking to fill.
• By submitting your CV or professional information, you grant Vecta permission to store, process, and share this data with relevant businesses as part of the normal operation of the jobs board.
• You may withdraw your consent and request deletion of your data at any time by contacting us (see Section 14), subject to any legal obligations we may have to retain certain information.

By using our services, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete
• You will maintain the accuracy of such information and promptly update it as necessary
• You have the legal capacity and agree to comply with these Terms of Service
• You have read and understood our Privacy Policy and consent to the processing of your personal data as described therein
• You will not use the services for any illegal or unauthorized purpose
• Your use of the services will not violate any applicable law or regulation

5. Prohibited Activities

You may not access or use the services for any purpose other than that for which we make them available. The services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Prohibited activities include, but are not limited to:

• Systematically retrieving data to create a collection or database without written permission
• Circumventing, disabling, or interfering with security-related features of the services
• Engaging in unauthorized framing or linking to the services
• Deceiving, defrauding, or misleading us or other users
• Misrepresenting your qualifications, experience, or identity
• Using the services to advertise or offer to sell goods and services without our consent
• Scraping, harvesting, or collecting candidate data from the jobs board for purposes unrelated to legitimate hiring

6. Fees and Payment

Vecta's jobs board and services are free of charge for candidates and engineers. Candidates will never be asked to pay a fee for registering, applying to jobs, or being placed through Vecta.

For businesses: Certain services may be subject to fees, including but not limited to job listing fees, candidate introduction fees, or placement fees. You agree to provide current, complete, and accurate payment information when applicable. We reserve the right to change our fees at any time upon reasonable notice. Any fees owed will be billed according to the terms agreed upon at the time of engagement.

7. Intellectual Property Rights

Unless otherwise indicated, the services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the services (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us.

The Content and Marks are provided on the services "AS IS" for your information and personal use only. Except as expressly provided in these Terms of Service, no part of the services and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

8. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the services, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us.

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the services; (2) breach of these Terms of Service; (3) any breach of your representations and warranties set forth in these Terms of Service; or (4) your violation of the rights of a third party.

10. Term and Termination

These Terms of Service shall remain in full force and effect while you use the services. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the services to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms of Service.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. Upon termination, your data will be handled in accordance with our Privacy Policy.

11. Governing Law

These Terms shall be governed by and defined following the laws of the United Kingdom. Vecta and yourself irrevocably consent that the courts of the United Kingdom shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms of Service, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Service to stay informed of updates.
